Terms of Service
This page described the terms and conditions that govern your use of certain
Next Generation Filtration Systems digital products, including
http://www.nextgenfiltration.com/ (hereinafter the “Site”) and applications
offered on the Site (hereinafter the “Applications”).
1.1 Agreement by use. If the User chooses to use Site and Applications, any of
the features of this site, including but not limited to RSS, API, software and
other downloads (collectively, the "Services"), the User will be agreeing to
abide by all of the terms and conditions of these Terms of Service between the
User and Next Generation Flirtation Systems.
1.2 We may change, add or remove portions of these Terms of Service at any time,
which shall become effective immediately upon posting. It is the User‘s
responsibility to review these Terms of Service prior to each use of the Site
and by continuing to use this Site, the User agrees to any changes.
1.3 We may change, suspend or discontinue any aspect of the Services at any
time, including the availability of any Services feature, database, or content.
We may also impose limits on certain features and services or restrict the
User’s access to parts or all of the Services without notice or liability.
Content of the Service
2.1 The contents of the Services, including the Site, are intended for the
User’s personal, noncommercial use. All materials published on the Services
(including, but not limited to white papers, press releases, date sheets,
articles, photographs, images, illustrations, audio clips and video clips, also
known as the "Content") are protected by copyright, and owned or controlled by
Next Generation Filtration Systems or the party credited as the provider of the
Content. The User shall abide by all additional copyright notices, information,
or restrictions contained in any Content accessed through the Service.
2.2 Permission to use the Services and factual information contained in the Site
is granted to the extent it is for used in connection with the purchase or
maintenance of Next Generation Filtration Systems products only. Such use is,
however, conditioned on the following: (1) the below copyright notice appears in
any copies and that both the copyright notice and this permission notice appear
on any copies specifically permitted herein or by express permission of Next
Generation Filtration Systems, (2) use of such Content from the Services is for
informational and non-commercial or personal use only and will not be copied or
posted on any network computer or broadcast in any media, and (3) no
modifications of any Content is made. Accredited educational institutions, such
as K-12, universities, private/public colleges, and state community colleges,
may download and reproduce the Content for distribution in the classroom.
Distribution outside the classroom requires express written permission. Use for
any other purpose is expressly prohibited by Next Generation Filtration Systems
and by law, and may result in severe civil and criminal penalties.
2.3 NEXT GENERATION FILTRATION SYSTEMS AND/OR ITS RESPECTIVE SUPPLIERS MAKE NO
REPRESENTATIONS ABOUT THE SUITABILITY OF THE INFORMATION CONTAINED IN THE
CONTENT AND RELATED GRAPHICS PUBLISHED AS PART OF THE SERVICES FOR ANY PURPOSE.
ALL SUCH CONTENT AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF
ANY KIND. NEXT GENERATION FILTRATION SYSTEMS AND/OR ITS RESPECTIVE SUPPLIERS
HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION,
INCLUDING ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, WHETHER EXPRESS,
IMPLIED OR STATUTORY, FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL NEXT
GENERATION FILTRATION SYSTEMS AND/OR ITS RESPECTIVE SUPPLIERS BE LIABLE FOR ANY
SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING
FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE
OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR
PERFORMANCE OF INFORMATION AVAILABLE FROM THE SERVICES.
2.4 THE CONTENT AND RELATED GRAPHICS PUBLISHED ON THE SERVICES COULD INCLUDE
TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED
TO THE INFORMATION HEREIN. NEXT GENERATION FILTRATION SYSTEMS AND/OR ITS
RESPECTIVE SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE PRODUCT(S)
AND/OR THE PROGRAM(S) DESCRIBED HEREIN AT ANY TIME.
2.5 The Content specified above does not include the design or layout of the
http://www.nextgenfiltration.com/ Site or any other Next Generation Filtration
Systems owned, operated, licensed or controlled site. Elements of the Site are
protected by trade dress, trademark, unfair competition, and other laws and may
not be copied or imitated in whole or in part. No logo, graphic, sound or image
from the Site or any other Next Generation Filtration Systems owned, operated,
licensed or controlled site may be copied or retransmitted unless expressly
permitted by Next Generation Filtration Systems.
Use of Services
3.1 The Services may contain e-mail services, bulletin board services, chat
areas, news groups, forums, communities, personal web pages, calendars, photo
albums, file cabinets and/or other message or communication facilities designed
to enable the User to communicate with others (each a "Communication Service"
and collectively "Communication Services"). The User agrees to use the
Communication Services only to post, send and receive messages and material that
are proper and, when applicable, related to the particular Communication
Service.
3.2 The User agrees that when using the Communication Services, the User will
not do the following: use the Communication Services in connection with surveys,
contests, pyramid schemes, chain letters, junk email, spamming or any
duplicative or unsolicited messages (commercial or otherwise); defame, abuse,
harass, stalk, threaten or otherwise violate the legal rights (such as rights of
privacy and publicity) of others; publish, post, upload, distribute or
disseminate any inappropriate, profane, defamatory, obscene, indecent or
unlawful topic, name, material or information; upload files that contain
viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any
other similar software or programs that may damage the operation of another's
computer or property of another; advertise or offer to sell or buy any goods or
services for any business purpose, unless such Communication Services
specifically allows such messages; restrict or inhibit any other user from using
and enjoying the Communication Services; harvest or otherwise collect
information about others, including e-mail addresses; create a false identity
for the purpose of misleading others; use, download or otherwise copy, or
provide (whether or not for a fee) to a person or entity any directory of users
of the Services or other user or usage information or any portion thereof.
3.3 The User further agrees that they shall not: upload, or otherwise make
available, files that contain images, photographs, software or other material
protected by intellectual property laws, including, by way of example, and not
as limitation, copyright or trademark laws (or by rights of privacy or
publicity) unless the User owns or control the rights thereto or have received
all necessary consent to do the same; use any material or information, including
images or photographs, which are made available through the Services in any
manner that infringes any copyright, trademark, patent, trade secret, or other
proprietary right of any party; download any file posted by another user of a
Communication Service that the User knows, or reasonably should know, cannot be
legally reproduced, displayed, performed, and/or distributed in such manner;
falsify or delete any copyright management information, such as author
attributions, legal or other proper notices or proprietary designations or
labels of the origin or source of software or other material contained in a file
that is uploaded.
3.4 By using this Site the User agrees (a) that no materials of any kind
submitted by the User will (i) violate, plagiarize, or infringe upon the rights
of any third party, including copyright, trademark, trade secret, privacy or
other personal or proprietary rights; or (ii) contain libelous or otherwise
unlawful material; and (b) that the User is least eighteen years old. The User
hereby agrees to indemnify, defend and hold harmless Next Generation Filtration
Systems and all officers, directors, owners, agents, information providers,
affiliates, licensors and licensees (collectively, the "Indemnified Parties")
from and against any and all liability and costs, including, without limitation,
reasonable attorneys' fees, incurred by the Indemnified Parties in connection
with any claim arising out of any breach by the User of these Terms of Service
or the foregoing representations, warranties and covenants. The User shall
cooperate as fully as reasonably required in the defense of any such claim. Next
Generation Filtration Systems reserves the right, at its own expense, to assume
the exclusive defense and control of any matter subject to indemnification by
The User .
3.5 The User agrees that the use of the Site by the User has not and shall not
violate any applicable local, national or international law, including, without
limitation, any regulations having the force of law. The user agrees not to
impersonate another person in the use of the Site or sending of any email to
address listed on the site.
3.6 Next Generation Filtration Systems has no obligation to monitor the
Communication Services. However, Next Generation Filtration Systems reserves the
right to review materials posted to the Communication Services and to remove any
materials in its sole discretion. Next Generation Filtration Systems reserves
the right to terminate the User’s access to any or all of the Communication
Services at any time, without notice, for any reason whatsoever.
3.7 Next Generation Filtration Systems reserves the right at all times to
disclose any information as Next Generation Filtration Systems deems necessary
to satisfy any applicable law, regulation, legal process or governmental
request, or to edit, refuse to post or to remove any information or materials,
in whole or in part, in Next Generation Filtration Systems’ sole discretion.
3.8 Always use caution when giving out any personally identifiable information
about yourself or your children in any Communication Services. Next Generation
Filtration Systems does not control or endorse the content, messages or
information found in any Communication Services and, therefore, Next Generation
Filtration Systems specifically disclaims any liability with regard to the
Communication Services and any actions resulting from your participation in any
Communication Services. Managers and hosts are not authorized Next Generation
Filtration Systems spokespersons, and their views do not necessarily reflect
those of Next Generation Filtration Systems.
3.9 Materials uploaded to the Communication Services may be subject to posted
limitations on usage, reproduction and/or dissemination; the User is responsible
for adhering to such limitations if the User download the materials.
3.10 All transactions or communications that take place between the User and a
Third Party that the User has identified through the use of this Site, including
any purchase of services, take place solely between the User and that Third
Party. Next Generation Filtration Systems is not involved in any such
transactions or communications whatsoever. Any disputes arising from any such
transactions or communications between Users and Third Party’s are solely
matters to be resolved between those parties and in connection therewith, the
User hereby agrees to release, indemnify and hold Next Generation Filtration
Systems harmless from and against any and all claims, demands and damages of any
kind arising from such circumstances.
User Generated Content
4.1 Next Generation Filtration Systems does not claim ownership of the materials
the User provide to Next Generation Filtration Systems (including feedback and
suggestions) or post, upload, input or submit to any Services or its associated
services for review by the general public, or by the members of any public or
private community, (each a "Submission" and collectively "Submissions").
However, by posting, uploading, inputting, providing or submitting ("Posting")
your Submission the User is granting Next Generation Filtration Systems a
perpetual, nonexclusive, world-wide, royalty free, sub-licensable license to the
Submissions, which includes, without limitation, the right for Next Generation
Filtration Systems or any third party it designates, to use, copy, transmit,
excerpt, publish, distribute, publicly display, publicly perform, create
derivative works of, host, index, cache, tag, encode, modify and adapt
(including without limitation the right to adapt to streaming, downloading,
broadcast, mobile, digital, thumbnail, scanning or other technologies) in any
form or media now known or hereinafter developed, any Submission posted by the
User on or to the Site or Services or any other web site owned by Next
Generation Filtration Systems, including any Submission posted on or to the Site
or Services through a third party.
4.2 The User is solely responsible for the content of his or her Submissions.
However, while Next Generation Filtration Systems does not and cannot review
every Submission and is not responsible for the content of these messages, Next
Generation Filtration Systems reserves the right to delete, move, or edit
Submissions in its sole discretion, including submissions Next Generation
Filtration Systems deems abusive, defamatory, obscene, in violation of copyright
or trademark laws, or otherwise unacceptable.
4.3 By making a Submission, the User is consenting to its display and
publication on the Site and in the Services and for related online and offline
promotional uses.
4.4 No compensation will be paid with respect to the use of the User’s
Submission, as provided herein. Next Generation Filtration Systems is under no
obligation to post or use any Submission the User may provide and Next
Generation Filtration Systems may remove any Submission at any time in its sole
discretion.
4.5 By Posting a Submission the User warrants and represents that he or she owns
or otherwise controls all of the rights to the Submission as described in these
Terms of Use including, without limitation, all the rights necessary for the
User to provide, post, upload, input or submit the Submissions.
Unsolicited Idea Submission Policy
5.1 NEXT GENERATION FILTRATION SYSTEMS OR ANY OF ITS EMPLOYEES DO NOT ACCEPT OR
CONSIDER UNSOLICITED IDEAS, INCLUDING IDEAS FOR NEW ADVERTISING CAMPAIGNS, NEW
PROMOTIONS, NEW PRODUCTS OR TECHNOLOGIES, PROCESSES, MATERIALS, MARKETING PLANS
OR NEW PRODUCT NAMES. PLEASE DO NOT SEND ANY ORIGINAL CREATIVE ARTWORK, SAMPLES,
DEMOS, OR OTHER WORKS. THE SOLE PURPOSE OF THIS POLICY IS TO AVOID POTENTIAL
MISUNDERSTANDINGS OR DISPUTES WHEN NEXT GENERATION FILTRATION SYSTEMS’ PRODUCTS
OR MARKETING STRATEGIES MIGHT SEEM SIMILAR TO IDEAS SUBMITTED TO NEXT GENERATION
FILTRATION SYSTEMS. SO, PLEASE DO NOT SEND YOUR UNSOLICITED IDEAS TO NEXT
GENERATION FILTRATION SYSTEMS OR ANYONE AT NEXT GENERATION FILTRATION SYSTEMS.
IF, DESPITE OUR REQUEST THAT YOU NOT SEND US YOUR IDEAS AND MATERIALS, YOU STILL
SEND THEM, PLEASE UNDERSTAND THAT NEXT GENERATION FILTRATION SYSTEMS MAKES NO
ASSURANCES THAT YOUR IDEAS AND MATERIALS WILL BE TREATED AS CONFIDENTIAL OR
PROPRIETARY.
Miscellaneous
6.1 This Agreement will be construed, governed, interpreted, and applied in
accordance with the laws of the Commonwealth of Pennsylvania, exclusive of the
provisions thereof relating to conflicts of laws. The parties consent to the
exclusive jurisdiction and venue of courts in Allegheny County in the
Commonwealth of Pennsylvania for all disputes arising out of or relating to this
Agreement.
